1. Agreement to Terms

By accessing or using Colego.ai’s website or Services, you agree to these Terms. If using on behalf of an organization, you confirm you have authority to bind that entity.

2. Privacy Policy

Your use of the Services is also subject to Colego.ai’s Privacy Policy.

3. Changes to Terms or Services

Colego.ai may modify these Terms or discontinue the Services at any time at its sole discretion. Continued use after changes indicates acceptance.

4. Feedback

By submitting suggestions or ideas (“Feedback”), you grant Colego.ai a perpetual, royalty-free, irrevocable license to use, reproduce, modify, and incorporate them into the Services.

5. Acceptable Use Policy

You agree not to:

- Frame, mirror, or reproduce any part of the Services or content without permission

- Access non-public parts of the Services or backend systems

- Bypass or disable security measures or authentication

- Scrape or automate access via bots/tools

- Send spam or unauthorized advertising

- Use Colego.ai trademarks in meta tags without permission

- Reverse engineer, decompile, or disassemble the Services

- Interfere with third-party use or host systems

- Collect personal information without consent

- Impersonate others or misrepresent identity

- Violate any applicable laws or facilitate others to do so

Colego.ai may monitor use, investigate suspected violations, and cooperate with law enforcement or legal enforcement.

6. Termination

Colego.ai may suspend or terminate your account and access at any time, with or without notice, for any reason. Sections 4–Feedback, 5–Acceptable Use, 7–Disclaimers, 8–Liability, 9–Governing Law, 10–IP, 11–Entire Agreement, 12–Waiver, and 13–Notices will survive termination.

7. Disclaimers

The Services are provided "as‑is" and "as‑available", without any warranties, either express or implied, including merchantability, fitness for purpose, accuracy, or non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law:

- Colego.ai, its affiliates, and providers are not liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of data, profits, or use, even if advised of such damages.

- Colego.ai’s total liability for any claim under these Terms or related to the Services is limited to the amount you have paid in the prior 12 months, or USD 100 if you have not made any payment.

9. Dispute Resolution; Arbitration

**PLEASE READ: THIS SECTION AFFECTS YOUR LEGAL RIGHTS.**

You and Colego.ai agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including their formation, breach, enforceability, or validity, will be resolved by binding arbitration **in San Francisco, California** under the **JAMS or AAA rules**, selected by Colego.ai.

- The arbitration will be conducted by a single neutral arbitrator.

- The arbitrator’s decision will be final and binding, and judgement may be entered in any court of competent jurisdiction.

- You and Colego.ai mutually waive any rights to a court trial (including jury trial) or to participate in a class, consolidated, or representative action.

- Limited exceptions: Either party may seek interim injunctive relief in a court of competent jurisdiction before arbitration begins.

10. Governing Law

These Terms are governed by California law, without regard to conflict-of-law provisions. Exclusive jurisdiction is in the state or federal courts in San Francisco County.

11. Intellectual Property

All rights, title, and interest in the Services, content, designs, software, and trademarks belong to Colego.ai or its licensors. You may not remove or alter proprietary notices.

12. Entire Agreement; Severability

These Terms, together with the Privacy Policy, constitute the entire agreement. If any provision is held invalid, the remainder remains in full force. Users may not assign these Terms without Colego.ai’s written consent; Colego.ai may assign freely.

13. Waiver

Failure by Colego.ai to enforce any provision does not constitute waiver unless in writing signed by an authorized representative.

14. Notices

Colego.ai may provide notices by email or posting to the Services. Notices are effective on the date emailed or posted.
